HB 2047 allows the registration of a trade name, title or designation to be filed electronically with the Secretary of State.

 

History

Current law only allows registration of trade names, titles or designations to be filed by using a paper form furnished by the Secretary of State.

 

Provisions

·                      Amends statute to allow the registration of trade name, title or designation to be filed electronically with the Secretary of State.

·                      Allows the Secretary of State to require a written or printed copy to accompany the electronically filed form.

·                      Outlines the conditions that must be met for an electronic filing to be valid.

 

The Committee on Energy, Utilities & Technology adopted the strike-everything amendment.

 

·        Amends statute to allow certificates of limited partnership, restated certificates of limited partnership, certificates of amendment or cancellation, judicial decree of amendment or cancellation, trademarks, service marks, trade names, titles and designations to be filed electronically with the Secretary of State.

·        States that properly submitted electronic documents comply with the filing, verification, signature and the penalty of perjury requirements of the Secretary of State.

·        Allows the Secretary of State to adopt rules requiring a written or printed copy to accompany the electronically filed form.

·        Specifies that the civil and criminal statutes that apply to paper documents that are submitted with the intent to defraud or decide apply equally to electronically submitted documents.

·        Makes a technical and clarifying change.

 

The Committee on Commerce and Economic Development adopted the same strike-everything amendment as the Committee on Energy, Utilities & Technology, with the following addition:

·        Makes a technical and clarifying change.

 

House Bill 2047 passed the Committee of the Whole as amended.
